This License Agreement (the “Agreement”) is made between:
CarpetAPP, including all source code, design, database schemas, documentation and associated intellectual property (the “Software”), is and shall remain the sole and exclusive property of CentreCRM Ltd. Nothing in this Agreement transfers ownership of the Software to the Licensee.
Subject to the terms of this Agreement, CentreCRM Ltd grants Marquee Carpets Ltd a non-exclusive, non-transferable licence to install, access and use the Software solely for the internal business operations of Marquee Carpets Ltd.
Marquee Carpets Ltd may modify the Software’s source code for its own internal business use. All such modifications remain part of the Software and subject to this Agreement.
To protect the security, stability and integrity of the Software, any code changes made by or on behalf of Marquee Carpets Ltd must first be submitted to CentreCRM Ltd for review and written approval before being deployed to any live environment. CentreCRM Ltd will review proposed changes to ensure they do not introduce security vulnerabilities or breaking changes.
Marquee Carpets Ltd shall NOT, without the prior written consent of CentreCRM Ltd:
Each authorised user must agree to this Agreement before using the Software. Users are responsible for keeping their access credentials confidential and for all activity under their account.
CentreCRM Ltd may terminate this Agreement if Marquee Carpets Ltd materially breaches its terms and fails to remedy the breach within thirty (30) days of written notice. On termination, Marquee Carpets Ltd must cease all use of the Software and delete or return all copies in its possession.
The Software is provided “as is” without warranty of any kind. To the fullest extent permitted by law, CentreCRM Ltd shall not be liable for any indirect, incidental or consequential loss arising out of the use of the Software.
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of its courts.
